Welcome to Apex Agency (“Apex,” “we,” “our,” or “us”). By accessing or using our website (apexagency.la) or any of our services, you agree to these Terms of Service (“Terms”). Please read them carefully.

  1. Acceptance of Terms
    By using our website or hiring our services, you confirm that you are at least 18 years old or have legal permission from a parent/guardian to enter into this agreement. If you do not agree to these Terms, please discontinue use of our site and services.
  2. Services Provided
    Apex Agency provides digital services including, but not limited to, web design, website maintenance, branding, content updates, and digital consulting. Specific deliverables, timelines, and pricing will be outlined in individual proposals, quotes, or invoices.
  3. Quotes & Pricing
    All quotes are estimates based on the information provided at the time of inquiry. Final pricing may change if project scope or requirements change. Quotes are not binding until approved by both parties in writing.
  4. Payments
    Invoices must be paid by the due date indicated. Certain services may require partial or full upfront payment. Work will not begin until required payments are received. Late payments may result in delays or suspension of services.
  5. Revisions
    Each project includes a limited number of revisions as stated in the project agreement. Additional revisions or out-of-scope requests may incur extra charges.
  6. Client Responsibilities
    Clients must provide accurate and timely information, content, and feedback. Delays in communication may extend project timelines. Clients are responsible for ensuring they have the legal right to use any materials (images, text, logos, etc.) they provide.
  7. Intellectual Property
    Upon full payment, ownership of the final delivered project files transfers to the client unless stated otherwise in the agreement. Apex Agency retains ownership of any design concepts, code snippets, templates, or assets not included in the final deliverable.
  8. Website Content & Third-Party Services
    Apex Agency may use third-party tools, plugins, or platforms. We are not responsible for downtime, changes, or issues caused by third-party services. Clients are responsible for maintaining their own third-party accounts unless they hire Apex to manage them.
  9. Refund Policy
    Due to the nature of digital services, completed work is non-refundable. Deposits or upfront payments are also non-refundable unless otherwise stated.
  10. Limitation of Liability
    Apex Agency is not liable for any direct, indirect, incidental, or consequential damages arising from the use of our services or website. All services are provided “as is” without warranties of any kind.
  11. No Guarantees
    Apex Agency does not guarantee specific results, website traffic, customer increase, rankings, or revenue. All services are provided on a best-effort basis.
  12. Scope of Work & Additional Charges
    Any work requested that falls outside the agreed project scope will incur additional charges at the current hourly or project rate.
  13. Timeline Disclaimer
    All timelines are estimates and may change due to client delays, third-party issues, or unforeseen circumstances. Apex Agency is not responsible for delays caused by factors outside its control.
  14. Portfolio Rights
    Apex Agency may display completed work in portfolios, case studies, or marketing materials unless the client requests confidentiality in writing before the project begins.
  15. Data Protection Responsibilities
    Clients are solely responsible for complying with applicable data protection and privacy laws regarding any customer information collected through their website or platforms.
  16. Hosting & Domain Responsibilities
    Unless explicitly hired to manage hosting or domains, clients are responsible for all hosting renewals, domain renewals, uptime, and security on third-party platforms.

  18. Editable source files (such as Figma, PSD, or code repositories) are not included unless stated in the agreement or purchased separately.
  19. Termination
    We reserve the right to refuse or terminate service to any client at any time for any reason. Clients may request cancellation of ongoing services, but refunds are not guaranteed.
  20. Changes to These Terms
    We may update these Terms at any time. Continued use of our website or services constitutes acceptance of the revised terms.
